Operator (Driver) Agreement

This Agreement governs your relationship with TowManVan as an independent Operator providing services through our platform. Please read it carefully before completing onboarding - by accepting it in the driver app you agree to be bound by it.

1. About This Agreement

This Operator Agreement ("Agreement") is entered into between CityGrip Ltd, a private limited company incorporated in England and Wales, trading as TowManVan ("TowManVan", "we", "us", "our"), and you, the independent service provider registering to deliver services through the TowManVan platform (the "Operator", "you", "your").

The Platform means the TowManVan driver application, website and related technology through which job opportunities are made available and managed. A Service means any vehicle recovery, roadside assistance, man-and-van or removal job you accept and perform through the Platform. A Customer means a person who books a Service through TowManVan.

This Agreement should be read alongside our Terms of Service and Privacy Policy. By ticking the agreement boxes and submitting your onboarding application in the driver app, you confirm that you have read, understood and agree to be bound by this Agreement.

2. Independent Contractor Status

You are an independent contractor running your own business. Nothing in this Agreement creates a relationship of employer and employee, worker, agency, partnership, or joint venture between you and TowManVan. You are not an employee or worker of TowManVan for any purpose, including employment law, tax, national insurance, or pension auto-enrolment.

You acknowledge and agree that:

  • you decide when, whether, and how often you make yourself available for Services, and you are free to accept or decline any job offer;
  • you are free to provide services to others, including competitors of TowManVan, and are under no obligation to accept any minimum number of jobs;
  • you provide your own vehicle, equipment, fuel, insurance and tools;
  • you control the manner and means by which you perform each Service, subject only to the law, safety, and the quality standards in this Agreement;
  • you may not describe yourself as an employee or agent of TowManVan, and you have no authority to bind TowManVan or make commitments on its behalf.

TowManVan operates a technology marketplace. Its role is limited to providing the Platform and connecting you with Customers. TowManVan does not supervise or direct how you carry out a Service in the field.

3. Eligibility & Onboarding

To register and remain active as an Operator, you must at all times:

  • be at least 18 years old;
  • have the legal right to work and operate as a self-employed contractor in the UK;
  • hold a valid, current UK (or otherwise legally recognised) driving licence appropriate to the vehicle(s) you operate, with no disqualification;
  • hold and maintain valid motor insurance appropriate to the Services you provide, including any required business, haulage, or "goods in transit" cover;
  • where you provide recovery or towing, hold appropriate motor trade / recovery insurance and use a roadworthy, correctly specified recovery vehicle;
  • hold valid public liability insurance to a level acceptable to TowManVan;
  • keep your vehicle taxed, insured, and holding a valid MOT where applicable;
  • pass, and continue to satisfy, our verification checks (Section 4).

Your registration is an application only. TowManVan may accept or decline any application at its discretion and may require additional information or documents before activating your account.

4. Documents & Verification

As part of onboarding and on an ongoing basis, you agree to provide accurate, current and complete documents and information, which may include: photo identity, right-to-work evidence, driving licence, vehicle details and photographs, MOT and insurance certificates, proof of public liability and motor trade insurance, and - where relevant to the Services - a criminal records (DBS) check.

You consent to TowManVan (and its verification partners) processing these documents to confirm your identity, right to work, licences, insurance and suitability, and to re-check them periodically. This processing is described in our Privacy Policy. Providing false, altered, or misleading documents is a serious breach of this Agreement and may result in immediate removal from the Platform and referral to the relevant authorities.

You must notify TowManVan without delay if any document expires or is revoked, or if your circumstances change in a way that affects your eligibility (for example, a licence endorsement, disqualification, insurance lapse, or unroadworthy vehicle).

5. How Jobs Work

When you are online and available, the Platform may offer you jobs based on factors such as location, service type, and your capabilities. You are under no obligation to accept any job. You may accept or decline any offer, subject to the offer expiry shown in the app.

Once you accept a job, you enter into a direct arrangement to perform that Service for the Customer, and you commit to attending and completing it with reasonable care and skill. If, after accepting, you cannot attend, you must cancel promptly in the app so the job can be re-offered. Repeatedly cancelling accepted jobs, failing to attend, or cancelling late may affect your standing on the Platform (Section 10).

You must follow the in-app job workflow honestly - including confirming arrival, recording required condition or completion photos, and marking the job complete only when it is genuinely finished. Certain steps are location-verified; you must not falsify your location, timings, photos, or job status.

6. Your Responsibilities & Standards

In performing every Service, you agree to:

  • comply with all applicable laws, including road traffic law, working time and drivers' hours rules, speed limits, and licensing and insurance requirements;
  • perform the Service with reasonable care, skill and professionalism, and treat Customers, their vehicles and their property with due care;
  • be punctual, communicate clearly, and behave courteously and honestly at all times;
  • not attend, drive, or work while under the influence of alcohol or drugs, or while unfit through tiredness or illness;
  • not subcontract, transfer, or allow any other person to perform a job accepted under your account - jobs are personal to the verified Operator;
  • not solicit Customers to transact outside the Platform for jobs sourced through TowManVan, and not seek cash payment for the Service itself;
  • not carry out any illegal, unsafe, or improperly authorised task, and decline any request that would require you to break the law or act unsafely.

7. Vehicle, Equipment & Insurance

You are solely responsible for providing, maintaining, taxing, insuring and operating a safe, roadworthy and appropriately specified vehicle and any equipment used for the Services (for example straps, dollies, winches, jump packs, or removal equipment).

You must hold and keep in force all insurance required for the Services you provide, which may include motor insurance for business/haulage use, motor trade or recovery insurance, goods-in-transit cover, and public liability insurance. You are responsible for any loss or damage arising from an uninsured or underinsured loss.

TowManVan does not provide you with a vehicle, equipment, insurance, or fuel, and does not reimburse your running costs. You bear the operating costs and risks of your own business.

8. Fees, Pricing & Payouts

Customers pay TowManVan the fixed price shown for each Service. TowManVan retains a platform service fee for providing the Platform, customer acquisition, payment processing, support and related services. The remainder is your payout.

The applicable service fee and your expected payout for a job are shown in the app before you accept it. By accepting a job you agree to the fee and payout for that job. Where a job runs longer than its included time (for example hourly removals), your payout is recalculated in line with the pricing shown in the app.

Payouts are collected on your behalf through the Platform and paid to your nominated account in accordance with the payout schedule and method in force from time to time. You are responsible for providing accurate payout details. TowManVan may withhold, adjust, offset, or reverse a payout where a Customer is refunded, a chargeback occurs, a job is disputed, fraud is suspected, or an amount has been paid to you in error.

Tips left by Customers are passed to you in full and are not subject to the service fee.

9. Tax & National Insurance

As an independent contractor, you are solely responsible for your own taxes, including registering as self-employed with HMRC where required, submitting your own returns, and paying your own income tax, National Insurance contributions, and (where applicable) VAT. TowManVan does not deduct tax or NIC from your payouts and makes no pension contributions on your behalf.

You agree to indemnify TowManVan against any tax, NIC, penalty or interest for which you are responsible but which TowManVan is required to account for as a result of your status or your failure to meet your obligations.

10. Ratings, Conduct & Compliance

Customers may rate and review your Services, and TowManVan may monitor completion rates, cancellations, response times, complaints, and compliance to maintain platform quality and safety. This monitoring is for quality assurance and is not supervision of how you perform your work.

You must not manipulate ratings, submit false information, harass or abuse Customers or staff, or engage in discriminatory, threatening, dishonest or unlawful conduct. Consistently poor performance or serious misconduct may lead to warnings, temporary suspension, or permanent removal (Section 15).

11. Health & Safety

You are responsible for your own health and safety and that of others affected by your work. You must carry out your own risk assessment for each job, use appropriate safety measures and personal protective equipment, work safely at the roadside, and comply with all relevant health and safety and manual handling requirements.

You must never undertake a task you consider unsafe. If a situation is dangerous, make the scene safe where you can, decline or stop the job, and contact the emergency services (999) where appropriate. Report incidents, accidents and near-misses to TowManVan promptly.

12. Data Protection

TowManVan processes your personal data in accordance with its Privacy Policy, UK GDPR and the Data Protection Act 2018. To perform a job you will receive limited Customer personal data (such as first name, contact number and location).

You must use Customer data only to perform that specific Service, keep it confidential and secure, not retain it longer than necessary, and never use it for marketing or any other purpose. In respect of Customer data you handle in the course of your own business, you act as an independent data controller and are responsible for your own compliance with data protection law.

13. Platform Use & Intellectual Property

TowManVan grants you a personal, limited, revocable, non-exclusive, non-transferable licence to use the driver app solely to receive and perform Services during the term of this Agreement.

The TowManVan name, logo, brand and software are owned by or licensed to TowManVan. You must not copy, modify, reverse engineer, misuse, or use the TowManVan brand except as needed to perform Services, and you must not represent yourself as TowManVan. You must keep your login credentials secure and are responsible for all activity under your account.

14. Liability & Indemnity

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

As an independent contractor, you are responsible for the Services you perform and for any loss, damage, injury, or claim arising from your acts or omissions. Subject to the paragraph above, TowManVan is not liable to you for loss of earnings, loss of profit, or indirect or consequential loss arising from your use of the Platform, job availability, or any suspension or removal of your account. TowManVan's total aggregate liability to you in connection with this Agreement is limited to the total payouts owed to you at the relevant time.

You agree to indemnify and hold harmless TowManVan, its officers, employees and agents against all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from: your breach of this Agreement or any law; your acts or omissions in performing a Service; any loss, damage or injury you cause to a Customer, their property, or any third party; any tax or NIC liability that is your responsibility; and any claim that you are or were an employee or worker.

15. Suspension & Termination

This Agreement continues until ended by either party. You may stop using the Platform and close your Operator account at any time, subject to completing any job you have already accepted and settling any amounts owed.

TowManVan may suspend or terminate your access to the Platform - with immediate effect where appropriate - if you breach this Agreement, fail verification, let your licence, insurance or documents lapse, act unsafely, dishonestly, or unlawfully, receive serious or repeated complaints, or where required to protect Customers, other Operators, or the integrity of the Platform. Where reasonable and appropriate, we will give you notice and an opportunity to respond.

On termination, your licence to use the Platform ends. Any payouts properly owed to you for completed jobs will be paid in the ordinary course, subject to any adjustment, offset, or investigation. Sections 2, 8, 9, 12, 14, 15, 17 and 18 survive termination.

16. Changes to This Agreement

TowManVan may update this Agreement from time to time to reflect changes to the Platform, our services, or the law. We will post the revised Agreement here and update the "Last updated" date. For material changes we will give you reasonable notice in the app or by email. If you continue to use the Platform after a change takes effect, you are taken to have accepted the updated Agreement. If you do not agree, you should stop using the Platform and close your account.

17. General

  • Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
  • Waiver. A failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign this Agreement or your account. TowManVan may assign its rights and obligations to a successor entity provided your rights are not materially reduced.
  • Entire Agreement. This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between you and TowManVan regarding your provision of Services through the Platform.
  • Third parties. No one other than you and TowManVan has any right to enforce this Agreement under the Contracts (Rights of Third Parties) Act 1999.

18. Governing Law

This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) are governed by the laws of England and Wales, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.
